Terms & Conditions and Risk Disclosure

1. About these Terms and your acceptance

These Terms & Conditions ("Terms") are a legally binding agreement between you ("you", "user", "client") and Algo Software Development, including its proprietor, partners, employees, agents and affiliates ("we", "us", "Company"), which operates the Algo Connector / Trade Connector websites, mobile apps, software, strategies, bots, connectors, APIs and related services for the Indian stock market (NSE / BSE / MCX) (together, the "Service").

By creating an account, ticking the acceptance boxes, clicking "Create account", or by accessing or using the Service in any way, you confirm that you have read, understood and accepted these Terms, the Risk Disclosure and all policies referred to in them. If you do not agree, do not create an account and do not use the Service.

Your acceptance is recorded electronically (version, date, time and IP address) and is valid under the Information Technology Act, 2000 as an electronic record and agreement.

2. What the Service is - and what it is NOT

The Service is technology only: software that lets you connect your own broker / exchange / trading account and automate, copy, monitor or analyse trades according to settings that YOU choose.

We are NOT a stock broker, sub-broker, authorised person, exchange member, depository participant, portfolio manager, investment adviser, research analyst, fund manager, bank or payment institution. We are not registered with SEBI, RBI, any stock exchange or any foreign regulator for these activities, and nothing in the Service is investment, trading, financial, legal or tax advice, a recommendation, a solicitation or an offer to buy or sell any security, derivative, currency, commodity or crypto-asset.

Strategies, indicators, signals, alerts, backtests, replays, "See how it trades" demos, leaderboards, "live proof", AI-generated content and any figures shown are tools for information and education only. They may be simulated, hypothetical, incomplete or wrong. Every trading decision - including which strategy to run, its inputs, capital and quantity - is yours alone.

We never hold, pool or manage your trading funds. Your money stays with your own broker or exchange. Any balance in your wallet on the Service is only a prepaid balance for our software fees; it is not a deposit, earns no interest and is not an investment.

3. Eligibility

You must be at least 18 years old, of sound mind and legally competent to contract, and not barred from trading or from using such services under any law, regulator order, broker or exchange rule.

You must use only accounts that are held in your own name (or where you are properly authorised), with valid KYC at your broker or exchange. You are responsible for any approvals, registrations, static-IP / API permissions and declarations your broker, exchange or regulator requires.

4. Indian market rules (SEBI / exchanges / brokers)

Automated (algo) orders are placed through YOUR broker's API under your broker's responsibility and approvals. SEBI's retail algorithmic-trading framework, exchange circulars and your broker's terms (including static-IP registration, order-rate limits, algo IDs and approvals) apply to you. It is your responsibility to ensure that your use of any strategy is permitted by your broker and the exchange.

Brokers and exchanges may reject, modify, delay, cancel or square off orders, change APIs, block IPs, revoke tokens or change margin requirements at any time. We have no control over this and are not liable for it.

SEBI's own studies have found that a large majority of individual traders in equity futures & options lose money. Options buying can lose the entire premium; futures and option selling can lose more than the capital deployed.

5. Risk Disclosure - you can lose all your money

Trading in securities, derivatives, currencies, commodities and crypto-assets involves a very high risk of loss. You may lose all of your capital, and with leverage, futures or option selling you may lose MORE than you invested. Only trade with money you can afford to lose.

Past performance, backtests, simulations, replays, paper-trading results, other users' results and "live proof" statistics do NOT guarantee or indicate future results. Markets can gap, become illiquid, hit circuit limits or move faster than any stop-loss; stop-losses and targets may not be executed at the expected price, or at all.

Slippage, partial fills, rejections, expiry, corporate actions, margin calls, auto square-off by brokers and changes in lot sizes or rules can all cause losses.

6. Software, bugs, glitches, delays and outages

The Service is software and may contain bugs, errors, defects, glitches or security vulnerabilities, and may behave in ways that are not expected, including in AI-generated or user-configured code. Automated trading can fail or malfunction.

Without limitation, the following can happen and are risks you accept: orders placed late, twice, not at all, in the wrong direction, wrong instrument, wrong quantity or at the wrong price; stop-loss, target, trailing or square-off not executed; positions not closed; strategies not starting or not stopping; wrong or delayed market data, charts, P&L or balances; lost settings or data; expired or revoked broker tokens; failure of a static-IP relay or its IP changing; server, cloud, network, power, internet, VPS or device failures; and interruptions for maintenance or updates.

The Service depends on third parties we do not control - including brokers, exchanges, MetaTrader, TradingView, Telegram, WhatsApp, data vendors, cloud and hosting providers (for example Hostinger and DigitalOcean), payment gateways and app stores. Their failures, changes, delays or errors are not our responsibility.

The Service is provided "AS IS" and "AS AVAILABLE", without any warranty of any kind - express, implied or statutory - including accuracy, reliability, availability, uninterrupted or error-free operation, fitness for a particular purpose, profitability or non-infringement.

7. Your responsibilities

You must: (a) start with paper / dry-run / demo mode and small quantities and test every strategy yourself; (b) monitor your account, positions and orders at all times while any automation is running - automation is not a substitute for your supervision; (c) keep sufficient margin and set your own risk limits; (d) be ready to stop strategies and square off positions yourself, directly at your broker if needed; (e) keep your passwords, PINs, TOTP secrets, API keys and tokens secure and never share your account; (f) give accurate information; and (g) comply with all laws, regulations, tax rules and broker / exchange terms that apply to you.

You authorise the Service to place, modify and cancel orders in the broker / exchange / MT5 accounts you connect, exactly as configured by you. Every order placed through your account - whether by you, by a strategy, copy trading, a signal, a webhook or any automation you enabled - is deemed to be your own instruction, and you are fully responsible for it and its result.

You must promptly report any error or unexpected behaviour to us. Continuing to run automation after you notice a problem is at your own risk.

8. No liability for losses - limitation of liability

To the maximum extent permitted by applicable law, the Company and its proprietor, partners, employees, agents and affiliates shall NOT be liable for any loss or damage of any kind, including (without limitation) trading losses, loss of capital, loss of profits or opportunity, margin shortfalls, penalties, brokerage, taxes, slippage, data loss, business interruption or any indirect, incidental, special, consequential, exemplary or punitive damages - whether arising from the Service, its bugs, glitches, errors, delays or outages, any strategy, signal or content, any third-party service, any action or omission of your broker or exchange, any unauthorised access to your accounts, or any other cause - even if we were told such loss was possible.

If, despite the above, the Company is held liable for anything, its total aggregate liability for all claims shall not exceed the software fees actually paid by you to the Company for the Service in the one (1) month immediately before the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded under applicable law; in that case liability is limited to the minimum amount the law allows.

9. Indemnity

You agree to indemnify, defend and hold harmless the Company and its proprietor, partners, employees, agents and affiliates from and against all claims, demands, losses, damages, penalties, fines, costs and expenses (including legal fees) arising out of or related to: your use of the Service; your trading; any order placed through your accounts; your breach of these Terms; your violation of any law, regulation, broker or exchange rule or third-party right; or any claim by your broker, an exchange, a regulator or any other person relating to your account or activity.

10. Fees, wallet, payments and refunds

Fees are charged only for the use of our software and services (for example plans, add-ons, dedicated static IPs and strategy development). Fees are not linked to your trading results and are not refunded because of trading losses, missed trades, market conditions or dissatisfaction with performance.

All payments are non-refundable except where these Terms or a specific feature expressly say otherwise (for example, an automatic refund to your wallet if a paid server could not be created). Wallet balances can be used only for fees on the Service; any withdrawal is at our discretion, subject to verification, and may be refused where fraud, chargeback or abuse is suspected. Prices, plans and features may change at any time. Applicable taxes are extra.

Initiating a chargeback or payment dispute for fees already consumed is a breach of these Terms and may lead to suspension.

11. Third-party signals, copy trading, strategies and infrastructure

Signals from Telegram, WhatsApp, TradingView or other sources, trades copied from other accounts, strategies written by other users or developers, and AI-generated strategies are not verified or endorsed by us. Using them is entirely your decision and risk.

Dedicated static IPs and relay servers are provided through third-party cloud providers on a best-effort basis. They may fail or be replaced, and a replacement may have a different IP address that you must register again with your broker. We are not liable for any broker rejection, restriction or loss caused by IP issues.

12. Changes, suspension and termination

We may add, change, suspend or discontinue any part of the Service, any strategy or any feature at any time, with or without notice, and may suspend or terminate your account (including stopping running strategies) for breach of these Terms, suspected fraud or abuse, non-payment, legal or regulatory reasons, or to protect the Service or other users. We are not liable for any consequence of doing so.

When automation stops for any reason, any open positions remain in your broker / exchange account and remain your sole responsibility.

13. Acceptable use and intellectual property

You must not: use the Service for any unlawful purpose, market manipulation, circular or wash trading or any activity prohibited by a regulator or exchange; share, resell or sublicense your account; attack, overload, scrape, reverse-engineer, decompile or copy the Service, its strategies or code; or upload malicious code.

All software, strategies, indicators, content, designs and trademarks of the Service belong to the Company or its licensors. You receive a limited, revocable, non-transferable, non-exclusive licence to use the Service for your own trading, subject to these Terms.

14. Your data

We collect and process the information needed to run the Service - such as your name, email, phone, account and usage records, IP addresses, and the broker / exchange credentials and tokens you choose to connect (stored encrypted). We share data only as needed to operate the Service (for example with your broker or exchange, hosting and cloud providers, messaging services and payment gateways), when required by law, or to protect our rights. You consent to receiving service, security and marketing messages by email, SMS, WhatsApp or app notification; you may opt out of marketing.

15. Force majeure, changes to Terms, law and disputes

We are not responsible for any failure or delay caused by events beyond our reasonable control, including market disruptions, exchange or broker outages, regulatory action, internet or power failures, cyber-attacks, natural disasters, war, pandemics or government orders.

We may update these Terms at any time by publishing a new version on the Service. Continued use after an update means you accept the updated Terms; we may also require you to accept them again.

These Terms are governed by the laws of India. Any dispute shall first be raised with us in writing and, if not resolved within 30 days, shall be finally resolved by arbitration by a sole arbitrator appointed by the Company under the Arbitration and Conciliation Act, 1996, conducted in English, with the seat and venue at the place of the Company's principal place of business; subject to this, the courts at that place shall have exclusive jurisdiction. Claims must be brought individually, not as part of any class or representative action, and within six (6) months of the event giving rise to them.

If any provision is held invalid, the rest remains in force. These Terms (with the policies they refer to) are the entire agreement between you and the Company about the Service. Our failure to enforce a right is not a waiver.
